Plate Plus Software License Agreement - Please read carefully before purchasing.

IMPORTANT: Product Deliverables

What You Are Purchasing

By purchasing Plate Plus, you are acquiring:

  1. Immediate access to the Potion template GitHub repository containing:

    • Complete source code for the Potion Notion-like editor template
    • 100+ premium React components
    • Full documentation and setup instructions
    • All future updates to the codebase
  2. Delivery Method: After payment confirmation, you will receive an automated GitHub organization invitation to your registered GitHub account email. Accepting this invitation constitutes receipt and delivery of the product.

  3. Proof of Delivery: GitHub maintains logs of organization invitations sent, accepted, and repository access. These logs serve as definitive proof of product delivery.

Billing & Dispute Policy

IMPORTANT: By purchasing Plate Plus, you explicitly agree that:

  1. No Chargebacks: You will not initiate chargebacks, disputes, or claims through your payment provider for any reason other than non-delivery of the product.

  2. Delivery Confirmation: Product delivery is confirmed when:

    • GitHub organization invitation is sent to your email
    • You accept the GitHub organization invitation
    • You gain access to the Potion repository
  3. Dispute Resolution: All disputes must first be addressed directly with Udecode at [email protected] before contacting payment providers. We guarantee resolution of access issues within 24 hours.

  4. Refund Policy: Refunds are ONLY provided if:

    • You do not receive the GitHub organization invitation within 24 hours
    • Technical issues prevent access despite accepting the invitation
    • The repository is empty or materially different from what was advertised

Personal License

Udecode grants you an ongoing, non-exclusive license to use Plate Plus.

This license permits one individual (the Licensee) to access and use Plate Plus.

For private projects:

  • A Personal License provides 1 developer seat, allowing one developer to work on projects that include Plate Plus code.
  • If your project has multiple developers, each developer working on the project requires their own Personal License.
  • For projects with 2 or more developers, we recommend purchasing a Team License for better value.

For open source projects:

  • You may use Plate Plus in open source projects subject to the Open Source Project conditions below.

You can:

  • Create unlimited End Products using Plate Plus.
  • Modify Plate Plus to create derivative works, which remain subject to this license.
  • Use Plate Plus to create unlimited End Products for unlimited Clients.
  • Create End Products for sale to End Users.
  • Use Plate Plus in open-source End Products that are freely available to End Users, subject to the Open Source Project conditions below.

You cannot:

  • Create End Products that allow End Users to build their own products using Plate Plus or its derivatives.
  • Redistribute Plate Plus or its derivatives separately from an End Product.
  • Share your access to Plate Plus with others.
  • Use Plate Plus to create products that compete with Plate Plus or Udecode's business, as determined by Udecode.

Team License

Udecode grants you an ongoing, non-exclusive license to use Plate Plus.

This license allows up to 5 Employees and Contractors of the Licensee to access and use Plate Plus.

For private projects:

  • A Team License provides 5 developer seats, granting up to 5 developers access to the original Plate Plus code.
  • It allows for unlimited developers to collaborate on repositories that use Plate Plus components.

For open source projects:

  • You may use Plate Plus in open source projects subject to the Open Source Project conditions below.

You can:

  • Create unlimited End Products using Plate Plus.
  • Modify Plate Plus to create derivative works, which remain subject to this license.
  • Use Plate Plus to create unlimited End Products for unlimited Clients.
  • Create End Products for sale to End Users.
  • Use Plate Plus in open-source End Products that are freely available to End Users, subject to the Open Source Project conditions below.

You cannot:

  • Create End Products that allow End Users to build their own products using Plate Plus or its derivatives.
  • Redistribute Plate Plus or its derivatives separately from an End Product.
  • Create End Products that are not the property of the Licensee or the Licensee's Clients.
  • Grant access to individuals who are not Employees or Contractors of the Licensee.
  • Use Plate Plus to create products that compete with Plate Plus or Udecode's business, as determined by Udecode.

Open Source Projects

You may use Plate Plus in open source projects under the following conditions:

  • The project must be an actual website or application.
  • It cannot be a derivative component library, theme builder, or similar product.
  • The primary purpose should not be to repackage or redistribute Plate Plus components.
  • Each project "Maintainer" who needs access to the Plate Plus code requires a license.
  • Contributors who only interact with the compiled version of your project don't need individual licenses.

Multiple Licenses

  • Any plan (Personal or Team) can be purchased multiple times to accommodate larger teams or projects.
  • For private projects with more than 5 developers, purchase multiple Team Licenses or contact us for custom licensing options.
  • For open source projects with multiple maintainers, purchase the appropriate number of licenses to cover all Maintainers who need access to the Plate Plus code.

Definitions

  • Licensee: The individual (Personal License) or business entity (Team License) who purchased the license.
  • Plate Plus: Access to the Potion template GitHub repository containing all source code, components, templates, and design assets, delivered via GitHub organization invitation immediately upon payment confirmation. This constitutes the complete product delivery.
  • End Product: Any artifact produced that incorporates Plate Plus or its derivatives.
  • End User: A user of an End Product.
  • Employee: A full-time or part-time employee of the Licensee.
  • Contractor: An individual or entity contracted to perform services for the Licensee.
  • Client: An individual or entity receiving custom professional services directly from the Licensee.
  • Maintainer: An individual with direct access to and responsibility for the Plate Plus code within an open source project.

Payment Terms & Dispute Prevention

Payment Processing

  1. All payments are processed through Stripe, a PCI-compliant payment processor
  2. Prices are in EUR and payment is due immediately upon checkout
  3. You must provide accurate billing information
  4. By completing payment, you confirm you have read and agree to these terms

Chargeback & Dispute Agreement

By purchasing Plate Plus, you expressly agree:

  1. To not initiate any chargeback, dispute, or claim with your bank or credit card company
  2. That GitHub organization logs serve as conclusive proof of delivery
  3. To contact [email protected] for any issues before pursuing external disputes
  4. That violation of this agreement may result in legal action to recover damages

Enforcement

Violation of this license may result in termination of your Plate Plus account. Intentional redistribution of Plate Plus will not be eligible for a refund. Initiating fraudulent chargebacks will result in potential legal action.

Udecode owns the copyright to Plate Plus. This license grants only the permissions described herein; all other rights are reserved.

Liability

Udecode's liability for costs, damages, or losses arising from your use of Plate Plus is strictly limited. Udecode does not offer refunds except in cases where the End Product has not been delivered as specified. Udecode is not liable for any consequential damages related to your use of Plate Plus.

This Agreement is governed by the laws of Belgium. Legal proceedings related to this Agreement may only be brought in the courts of Brussels, Belgium. You agree to service of process at the email address on your original order.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

This includes no warranty for compatibility with specific operating systems, build systems, or third-party integration tools (e.g., shadcn CLI), and no guarantee of defect-free performance.

Support & Contact

Access Support Guarantee

We guarantee resolution of any access issues within 24 hours. If you cannot access your purchased repository:

  1. Email [email protected] with your GitHub username and purchase receipt
  2. We will resolve the issue or provide a full refund
  3. This is the ONLY guaranteed support we provide

Before Filing a Dispute

You MUST contact us first at [email protected] for:

  • Access issues
  • GitHub invitation problems
  • Repository availability concerns
  • Billing questions

Failing to contact us before filing a payment dispute violates this agreement and may result in legal action.
